Sandy Shan(单少芳)

Ms. Sandy Shan received her LL.B. from the Law Department of Shanghai University in 1988 and her MBA from Madonna University, USA, in 2000. She was admitted to practice law in PRC in 1990. For over a decade in her legal career, Ms. Shan’s practice focus has been on corporate law, real estate, finance and litigation, and has substantially participated in numerous real estate projects invested by Hong Kong investors in Shanghai, including, among others, Hong Kong Plaza, Lippo Plaza, Shanghai Times Square and Hong Kong New World Tower. In recognition of Ms. Shan's excellent performance, she was invited by the Chief Executive of Luwan District, Shanghai to serve as legal counsel to the Foreign Investment Bureau of Luwan District and the duty lawyer for Chief Executive's Open Day of Luwan District. Ms. Shan was the perennial legal counsel to Hong Kong New World Group, and has advised clients in numerous M&A and commercial transactions. Ms. Shan has also represented multi-national enterprises in their litigation cases in Shanghai. Her prominent cases include:

- Liquidation of Shanghai Tamura Electro Chemical Industry Co., Ltd. as a result of the early termination of Sino-foreign joint venture
- Transfer of corporate interests between Shanghai Life Code Health Consultant Co., Ltd. and Jieti Digital Technology Inc.
- Transfer of corporate bond and asset acquisition of Gaokeng County, Nanchang, Jiangxi Province
- Jurisdictional challenge claim arising from a 5-year court dispute with a favorable final judgment rendered by the Supreme People’s Court of the PRC in favor of a Taiwan company
- Court dispute of a tri-party engagement agreement in which a world-renowned advertisement agency won the case in both the courts of first and second instances against an international market research corporation and an insurance company in China
- Favorable settlement of a lawsuit regarding contract payment litigation instituted by a Taiwan listed company against a world-renowned OEM electronics manufacturer with a settlement amount exceeding RMB10 million
- Representing an international golf equipment manufacturer in its patent dispute in China.
Xia Xu(徐霞)

Ms. Xu was admitted to the PRC bar in 1992. Ms. Xu's practice focuses on general corporate matters, banking and land appropriation by government, and has over a decade served as legal counsel to various clients including state-owned enterprises, private companies, banks and financial institutions. Ms. Xu has extensively involved in corporate debt, debt collection and dispute resolution for real estate, and labor contracts, including the jurisdictional challenge claim arising from a 5-year court dispute with a favorable final judgment rendered by the Supreme People’s Court of the PRC in favor of a Taiwan company.
Alex Jui-Lin Liu(刘瑞霖)

Mr. Alex Jui-Lin Liu is a senior counselor at Leaven, Attorneys-at-Law. His practice focuses on banking, securities, international corporate finance and M&A. Having been a senior counselor at Lee and Li, Attorneys-at-Law, Taiwan, Mr. Liu represents major international commercial banks and investment banks with regard to their operations in Taiwan. He has been ranked by Chambers Global as "The World's Leading Lawyers for Business" in Banking & Finance field since 2007. Mr. Liu has extensive experience in advising international capital market transactions including global depositary receipts, Euro-convertible bonds and securitization products. Mr. Liu is also an expert on M&A transactions involving Taiwan listed companies. He advised TSMC's merger with Worldwide Semiconductor Manufacturing Corp. and TSMC-Acer, Siliconware Precision Industries Ltd.'s merger with Siliconware Corporation, Epitech Technology Corporation's merger with Formosa Epitaxy Incorporation, Chinatrust Financial Holding's acquisition of Cosmos Bank and several other cross-border M&A transactions. Mr. Liu is a member of the International Bar Association, New York State Bar Association, American Bar Association and Inter-Pacific Bar Association. He is also an associate professor of law at Soochow University, Taiwan.
Jong Wang(王仲)

Mr. Jong Wang is a senior counselor at Leaven, Attorneys-at-Law. He has more than twenty years of experience in technology transfer and related transactions, patent and other IPR litigations, investments, joint ventures, M&A, antidumping, and cross-border contracts and disputes, with respect to cases and projects in Taiwan and China. Representative projects include, among others, investment in and establishment of semiconductor fabs for ProMOS Technologies in Chongqing and for SanDisk in Shanghai, joint ventures and technology transfer between Infineon and Mosel Vitelic, joint ventures and licensing between Sharp and Mosel Vitelic, asset acquisition and strategic alliance between MTI and DMC Stratex, technology transfer between Coretronics and OSRAM, distribution and ODM arrangements between Polytronics and Texas Instruments, patent litigation for Advantest Corporation, technology related arbitration for ProMOS Technologies, and patent litigation for Polytronics Technology. Mr. Wang has advised clients in a wide range of technology areas and industries, including semiconductors (e.g., IC design, fabrication, assembly and testing), chemical (e.g., polymeric composition), energy (e.g., solar cell and module), telecommunications (e.g., LNB, cell phone component), and mechanical (e.g., censoring device). Mr. Wang was the Vice Chair of the International Trade Law Committee of the Inter-Pacific Bar Association from 2000 to 2002, and the Vice Chair of the Environmental Law Committee of Taipei Bar Association, Taiwan from 1993 to 1995. He was an adjunct professor at the Institute of Technology Law, National Chiao Tung University, Taiwan in 2003 and 2004. Daniel Lee(李卓儒)

Daniel Lee received both LL. B. and LL.M. from the National Taiwan University. After working at Lee and Li Attorneys-at-Law for three years, Mr. Lee furthered his studies in the United States, where he received a LL. M. from Harvard Law School. During his three years at Lee and Li, Mr. Lee's practice focused on banking and capital markets, and accumulated wide experience in financial and securities-related legal work with renowned multinational commercial and investment banks, including fund-raisings for Taiwanese companies in international capital markets. Mr. Lee also fully participated in the Taiwan High Speed Rail Project, which involved syndicated bank loans exceeding NT$200 billion (US$6.06 billion). In 2001, Mr. Lee was admitted to the New York State Bar. Subsequently, he worked in the Hong Kong and Shanghai offices of the top-ten Wall Street and California law firms for eight years; during the period he participated in capital market transactions for numerous Taiwanese and mainland Chinese companies: advising Citigroup as underwriter for AU Optronics’ IPO, advising TSMC in a US$2.6 billion secondary ADR offering underwritten by Goldman Sachs, and advising overseas offerings by Cathay Financial Holding, Chinatrust Financial Holding, Taishin Financial Holding, Hurray! Holding, and Dah Chong Hong Holding (the food-and-automobile distribution arm spun off from Citic Group). Mr. Lee has also advised foreign joint ventures and M&A projects in Hong Kong and Shanghai, including acting as deal counsel for Long Star’s acquisition of Valin Steel Tube and representing Goldman Sachs in its direct investments in Kouzi (a state-owned white wine producer based in Anhui) and real estate brokerage firm 21st Century. David Dai

David Dai received his LL.B. from Nanjing University in 2007 and was admitted to the PRC bar in 2009. Prior to joining Leaven in 2010, Mr. Dai worked for Yao Liang Law Offices since October 2007, participating in shipbuilding projects (including but not limited to novation, assignment, guarantee and delivery) and representing or advising numerous major shipyards and ship trading companies in China and world-renowned ship owners. He has actively involved in arbitration proceedings in London Maritime Arbitrators Association, Hong Kong International Arbitration Centre and China International Economic and Trade Arbitration Commission. In addition, Mr. Dai also advises clients in a wide range of industries on foreign investments and general corporate matters. Mr. Dai joined Leaven, Attorneys-at-Law in January 2010. His recent representations include advising Bureau Veritas Hong Kong Limited on an acquisition deal, and certain investment projects in China by a Taiwanese media group.

Ms. Kate Liu received her LL.M. from East China University of Political Science and Law in 2007 and was admitted to the PRC bar in 2009.
Prior to joining Leaven in 2011, Ms. Liu worked for M&A Law Firm since December 2008. She represented for and won various efficiency and difficulty cases which included but not limited to the economic dispute, construction case, labour dispute, IP dispute and other civil cases, etc. Her main clients include Fortune Global 500, large state-owned enterprises, listed companies, which involved in chemical industry, energy, manufacturing, trade, retail, house property, insurance and education, etc.Ms. Liu is also specialized in providing legal services for merger and acquisition, IP issues, etc.

Griffin Guo

Ms. Griffin Guo received her LL.B. from Zhejiang University Law School in 2008. She passed the PRC judicial examination and obtained the Certificate in Legal Practice of the PRC in 2008. Ms. Guo joined Lee and Li Business Consultants (Shanghai) Limited in July 2008 and has focused her practice on foreign investment, M&A and general corporate matters. Ms. Liu received her LL.B. from China University of Political Science and Law (CUPL) in 2007 and her LL.M. from Fudan University School of Law in 2011, and obtained the PRC Bar qualification in 2008. During her years in Fudan University, Ms. Liu has been frequently awarded with academic scholarship; She also took on an academic forum between Fudan Universiy and Hokkaido University. Highly recommended by the forum, her essay was published on the Proceedings both in Chinese and Japanese. Ms. Liu interned at Jingtian & Gongcheng Law Firm’s Shanghai Office as an Offshore IPO team member in 2009, Compliance Dept. of Life Technologies.
